HOUSTON--(BUSINESS WIRE)--Sept. 6, 2006--Crown Castle International Corp. (NYSE: CCI) announced today that certain of its indirect U.S. subsidiaries (the "Issuers") are soliciting consents from the holders of the Issuers' Senior Secured Tower Revenue Notes, Series 2005-1 (the "Notes") to certain amendments to the indenture (the "Indenture") governing the Notes and the related management agreement. The proposed amendments are technical amendments relating to certain administrative matters and possible future issuances of additional series of notes under the Indenture.

The consent solicitation will expire at 5:00 p.m., New York City time, on September 20, 2006, unless extended (the "Expiration Date"). Holders of record of the Notes as of 5:00 p.m., New York City time, on September 6, 2006 (the "Record Date"), are entitled to consent to the proposed amendments. The Issuers will pay a consent payment equal to $2.50 per $1,000 principal amount of Notes to each holder of record as of the Record Date who has delivered and not revoked a valid consent prior to the Expiration Date.

Adoption of the proposed amendments and payment of the consent payment are each subject to conditions, including the receipt of the consent of holders of at least a majority in principal amount of the outstanding Notes, excluding Notes owned by the Issuers or any of their respective affiliates.
